These terms and conditions in this agreement (the «Terms of Use», «Terms of Service» or «Terms») between you («User» or «Client») and inetCloud inc., doing business as «inet.ws» governs your use of the inet.ws website, hosted at inet.ws (the «Site»).  

Please read the terms carefully as they govern your use of inet.ws Services.

By using the Services, you represent and warrant that you are of age under the laws of your jurisdiction and/or lawfully able to enter into contracts. If you are not legally able to enter into contracts, you may not use the Services at any time or in any manner, or submit any information to inet.ws or the Services.

If you are entering into these Terms on behalf of a business entity or organization, you represent and warrant that you have the legal authority and capacity to bind such business entity or organization. If you are not authorized nor deemed by law to have such authority, you assume sole personal liability for the obligations set out in these Terms.

1.1. Your submission of information, including personal information, through or in connection with the Services is governed by the terms of our Privacy Policy as updated from time to time, available at  «Privacy Policy». When you accept the Privacy Policy, and any updates thereto, you consent to us collecting, accessing, using, processing, disclosing, and retaining the personal information you provide to us so we may provide the Services to you. This consent is not related to, and does not affect, any rights or obligations we or you have in accordance with data protection laws, privacy laws, and regulations. We carefully use your personal information according to the Terms and Privacy Policy. For what purposes we use your personal information, what kind of personal information we use and how to withdraw access to your personal information in our services, you can see at our Privacy Policy.

1.2. Limited License. inetCloud grants you a limited, nonexclusive, non-transferable license, subject to these Terms, to access and use the Services. inetCloud grants the right to use its Services solely for approved purposes as permitted by these Terms and inetCloud from time to time. Any other use of these Services is expressly prohibited and all other rights, title, and interest in or arising out of these Services is exclusively the property of inetCloud and its licensors. You agree that you will not copy, transmit, distribute, sell, license, reverse engineer, modify, publish, or participate in the transfer or sale of, create derivative works from, or in any other way exploit any of the Services, in whole or in part. All logos related to inetCloud, its affiliates and its licensors are either trademarks, registered marks, or associated with inetCloud, such affiliates, or its licensors. You agree not to copy, imitate or use them without inetCloud’s prior written consent.

1.3. Account Information. You hereby authorize inetCloud to store your account information. You also authorize inetCloud to use your account information to help protect against fraud and other illicit activity.

1.4. Termination or Suspension of Account. inetCloud may terminate or suspend your access to its Services at any time, without prior notice, for any reason whatsoever, including without limitation, if you breach the Terms or circumvent inetCloud’s controls. All provisions of the Terms shall survive termination, including, without limitation, ownership provision, warranty disclaimers, indemnity, mandatory binding arbitration, and limitation of liability.

1.5. Authorized Users. Only you may use your inetCloud account (or your trustees). You must keep your account information, including your private keys, confidential and not authorize any third party to access or use the Service on your behalf. You must contact inetCloud immediately if you suspect misuse of your account or any security breach in the Services.

1.6. Your Privacy. Protecting your privacy is very important to inetCloud. Please review inetCloud’s Privacy Policy which is hereby incorporated by reference into this Terms, in order to better understand inetCloud’s commitment to maintaining your privacy, as well as inetCloud’s use and disclosure of your information.

1.7. Personal Data. You acknowledge that we may process personal data in relation to you, and personal data that you have provided or in the future provide to us in connection with this Terms or the inetCloud Services. Accordingly, you represent and warrant that:

(I) your disclosure to us of any personal data relating to individuals other than yourself was or will be made in accordance with all applicable data protection and data privacy laws, and those data are accurate, up to date and relevant when disclosed;

(II) before providing any such personal data to us, you have read and understood our Privacy Policy; and

(III) if from time to time we provide you with a replacement version of the Privacy Policy, you will promptly read that notice and provide a copy to any individual whose personal data you have provided to us.

1.8. Security Breach. If you suspect that your inetCloud Account or any of your security details have been compromised or if you become aware of any fraud or attempted fraud or any other security incident (including a cyber-security attack) affecting you and/or inetCloud (together a “Security Breach”), you must notify inetCloud Support as soon as possible and continue to provide accurate and up to date information throughout the duration of the Security Breach. You must take any steps that inetCloud reasonably requires to reduce, manage or report any Security Breach. Failure to provide prompt notification of any Security Breach may be taken into account in inetCloud’s determination of the appropriate resolution of the matter.

1.9. Password Security and Keeping Your Contact Information Current. You are responsible for maintaining adequate security and control of any IDs, passwords, hints or any other codes that you use to access the inetCloud Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your inetCloud Account. You are responsible for keeping your email address and telephone number up to date in order to receive any notices or alerts that inetCloud may send you. inetCloud assumes no responsibility for any loss due to compromise of your sensitive information or failure to follow or act on any notices or alerts that inetCloud may send to you. In the event you believe your inetCloud Account information has been compromised, contact inetCloud Support immediately.

1.9.1 Email Validity Requirement. If your registered email becomes invalid or inaccessible, inetCloud reserves the right to suspend the provision of services until you provide a valid email. An invalid or inaccessible email is considered a breach of these Terms, and may result in the temporary suspension or termination of access to the services.

1.10. You represent that agreeing to these Terms of Use and your use of the Services does not constitute, and that you do not expect it to result in, a breach, default, or violation of any applicable law or any contract or agreement to which you are a party or are otherwise bound.

1.11. You represent and warrant that you are not a resident of, or located in, any of the countries to which the Country in which you access the Services has embargoed goods or has otherwise applied any sanctions.

1.12. You represent that you will not disrupt, interfere with, or otherwise adversely affect the normal flow of the Services or otherwise act in a manner that may negatively affect other users' experience when using the Services. This includes taking advantage of software vulnerabilities and any other act that intentionally abuses or exploits the design of the Services.

2.1. Visitors. Visitors may view the Site in accordance with these Terms, but will not have full access to the Services unless they have pre-registered.

2.2. Accounts. To access certain features of the Services, you will need to register an account and be a registered user. The user who registered with us is a registered user. By registering as a User you represent that you are not barred from using the Services under these Terms, the laws of Canada, your place of residence or any other applicable jurisdiction.

2.3. Registration. In registering for the Services, you agree to provide true, accurate, current and complete information about yourself as prompted by the Services’ registration form and maintain and promptly update the Registration Data to keep it true, accurate, current and complete.

If you provide any information that is untrue, inaccurate, not current or incomplete, or inetCloud has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, inetCloud has the right to suspend or terminate your Account and refuse any and all current or future use of the Services (or any portion thereof) for breach.

You agree not to create an Account using a false identity or information. You agree not to register for an Account on behalf of an individual other than yourself, or register for an Account on behalf of any group or entity unless you are authorized to bind such person, group, organization, or entity to these Terms. By registering another person, group, organization, or entity you hereby represent that you are authorized to do so. You agree not to create an Account or use the Services if you have been previously removed by inetCloud, or if you have been previously banned from any of the inetCloud properties.

2.4. inetCloud may refuse to provide services to you if your person or company is subject to international sanctions or conducts activities or registered in unrecognized territories.

The Services may not be used in any of the following ways:

3.1. In connection with your use of these Services, you agree and represent that you are not engaging in or facilitating any illegal activity. inetCloud reserves the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process, or government request.

3.2. You agree not to use the Service in a manner that could interfere with, disrupt, impede, or negatively affect other users of the Service. This includes, but is not limited to, the use of: robots, ransomware, trojan horses and/or scrapers.

3.3. You agree not to store, upload, or transmit to or via the Services any Data that:

  • infringes upon, or violates any copyright, patent, trademark, trade secret or other proprietary right;
  • is defamatory, libelous, or threatening;
  • is known by you to be false or inaccurate; or
  • violates any applicable law, treaty, or regulation.

You agree not to use the Services for illegal activities such as:

  • Spam
  • Mining
  • Darknet network extension (For example: TOR)
  • Is a node that distributes or receives data via Torrent
  • Placement of duplicate sites
  • Participation in DOS/DDOS attacks
  • Participation in attempts to hack the accounts of other sites or organizations
  • To store, post and disseminate illegal information.
  • To carry out unauthorized access and network attacks
  • Other actions that are prohibited by hosting regulations and other documents.

In the event of a breach of any of the terms set forth in these Terms, inetCloud reserves the right to discontinue providing the Services to you without refund.

3.4. You agree not to interfere, in any way, with others’ use of the Services and you will not attempt to gain unauthorized access to the account, computer system, or Data of another user.

3.5. You agree not to engage in any act where you know, or have reason to know, that such act may disrupt the functionality of the Services.

4.1. In order to use the Services, you must select from the list of available Services to which you wish to subscribe. All Subscriptions to Services are subject to formal acceptance by inetCloud. Your Subscription to the Services will be deemed accepted by inetCloud when inetCloud delivers a confirmation of the Subscription to you. inetCloud reserves the right to refuse to provide you with any Service for any reason.

4.2. inetCloud also reserves the right to interrupt access to the Services to perform regular and emergency maintenance as needed. You may order additional Services at any time, provided that you agree to pay the then-current fees for such additional Services. All additional services shall be considered "Services" hereunder. All Services provided are subject to availability and to these Terms.

4.3. For as long as you agree to these Terms and abide by them, you may use the Services. These Terms apply to all Users of the Service, including visitors and registered Users, who are also contributors of User Content. The Services are licensed, not sold, to you.

4.4. The Services may be provided directly by us or through other reseller companies. Such companies provide services by entering your personal data into their databases, including entering them as data registrars into domain zone (whois) registries. Some registrars may require you to verify the personal information you have provided to inetCloud. To use the services, you must confirm the data within the period specified in the confirmation letter. If you do not confirm such data, services may be temporarily suspended.

4.5. You agree to the following terms of the Services:

  • The disk space specified in the tariff is the volume of the entire virtual disk, and not the available space (in fact, the volume is less, because the space is used by the file system for service purposes)
  • the amount of RAM for a virtual machine (VM) is allocated according to the specified value in the tariff, but in fact the you will available less
  • the processor for the VM is emulated and we do not guarantee that its performance will match what is in the benchmarks
  • inetCloud we can change the architecture of the emulated processor for VM for the current tariffs, without agreement with registered users who are already using the selected tariff
  • inetCloud can change the IP addresses issued for the VM by warning you 7 calendar days in advance in your account or by email
  • when some VM settings are changed, the VM may be restarted or stopped or restarted i
  • netCloud does not guarantee the speed of the VM (the emulated processor, RAM or disk subsystem and Internet connection), but we will try to keep it at the maximum
  • creating, migrating, reinstalling or restoring a VM from a backup can take from tens of minutes to several hours
  • inetCloud can carry out maintenance work, shut down, slow down services, migrate the user's VM without his consent but after 24 hours notice in the account or by email.

4.6. The Services are protected by copyright laws throughout the world. Subject to your agreement, and continuing compliance with these Terms, and any other relevant inetCloud policies, inetCloud grants you a non-exclusive, non-transferable, non-sublicensable, revocable limited license subject to the limitations in these Terms to use the Services and/or download, and use a copy of any Apps or client-software on a device or computer that you own or control and to run such copy solely for your own internal business or individual purposes only. You agree not to use the Services for any other purpose.

4.6.1 Email Validity Requirement. The user agrees to maintain a valid email address throughout the entire period of using inetCloud services. If the provided email becomes invalid or inaccessible, inetCloud reserves the right to suspend the provision of services without prior notice until the client provides a valid and current email address. The suspension of services does not relieve the user from payment obligations during this period.

5.1. Your Subscription or purchase of the Services begins upon confirmation of receipt of funds. The initial term of the Subscription is specified when subscribing to the Services. Upon expiration of the initial term, the Subscription automatically renews for successive terms equal in length to the original term, unless terminated or canceled by either party as provided herein.

5.2. The provision of the service begins immediately after payment, but it may become fully available in a few tens of minutes due to circumstances beyond our control (For example: domain registration can take place within 1-2 minutes, or it can be postponed indefinitely until you corrects the personal missing / inaccurate information that is recorded in WHOIS protocol).

5.3. inetCloud reserves the right to change prices for paid Subscriptions at any time and does not provide price protection or refunds in the event of promotions or price decreases. Any pricing changes will become effective after your then-current Subscription expires or terminates. You understand that if inetCloud agrees to provide Services to you in the future after your Subscription terminates for any reason, the amount you paid under any prior term or time period is not determinative of the amount you will pay should inetCloud provide services to you again. It is your responsibility to check Site for plan or price changes should you wish to take advantage of plan or price changes which may have occurred. inetCloud does not automatically update your Subscription plan.

5.4. Automatic renewal. To facilitate continuity of the Services to you, each paid Subscription contains automatic renewal terms. inetCloud will automatically renew your paid Subscription as per the Subscription period of your choosing, on the anniversary of that date that inetCloud first charges your account for the first Subscription fee, and, as authorized by you during the Subscription sign-up process, inetCloud will charge your account with the applicable Subscription fee and any sales or similar taxes that may be imposed on your Subscription fee payment (unless you cancel prior to the anniversary date). Each Subscription renewal period is for the same Subscription Term as the prior one, unless otherwise agreed between you and inetCloud.

5.5. If you cancel your subscription, your access to and use of the Services will be shut off once your then current Subscription term expires unless you request immediate cancellation.

5.6. Please note that at the end of the paid period for virtual machine (VM) services, the virtual machine will be stopped 3 days after the day the paid period ends; If you do not renew your payment: the VM will be deleted 30 days after the end of the paid period, along with the backup copies.

5.7. If you request immediate cancellation of the service, the VM will be deleted immediately along with the backup copies.

5.8. If you submit a cancellation request at the end of the billing period, the VM will be deleted along with the backup copies at the end of the billing period.

5.9. inetCloud reserves the right to change prices at any time (but not before the end of the paid period.), upon prior notice.

5.10. You agree and understand that the cost of your current subscription will not be refunded in whole or in part in the event of cancellation.

6.1. inetCloud uses third party payment services (PayPal, Stripe) to bill you through an online account payment in lieu of directly processing your credit/debit card information. These payment services are enabling your transfer and receipt of funds as payment for Services provided on the Site.

6.2. Please note that if you are under paid-subscription services with us, in the event we change the price for the services which you have previously agreed to pay or if we substantially change the services you are paying for, we will also notify you of such changes. Any changes will become effective after your then-current subscription expires or terminates. If you do not agree with such changes and you communicate this to us in accordance with the notification, we will not automatically renew your subscription even if you previously agreed to automatic renewal for payment.

6.3. You will honor your payment obligations, if any. For recurring charges that you agree to make, you agree that third parties working on our behalf may store your payment information to process the payments you agreed to make. You understand that additional fees and taxes may apply to your purchases. Please refer to our support email address at support@inet.ws section for related information. inetCloud does not guarantee refunds.

6.4. Please note that the bank, payment systems may apply double conversion when debiting money from your bank card.

7.1. You agree that inetCloud services associated with your purchase of a domain are non-refundable. Credit card holder's account is automatically charged on the same date as the original transaction date on each corresponding month or on the final date of month if no corresponding date. Funds paid for the subscription are non-refundable.

7.2. For virtual private server (VPS) rental services, inetCloud can return the paid funds within 3 days after you pay for such services. If you delete a virtual machine (VM) in order to reinstall it, then the funds will not be returned, and the creation of a new VM will be with a new payment for reinstalling the Operating System (OS) within the purchased tariff.

7.3. If you believe you’re eligible for a refund but haven’t received one, contact us by support@inet.ws. We review every refund request we receive and aim to respond within 5 business days.

8. CONTENT

You are responsible and liable for your Content and the Content of your end users. Additionally, when you act as a Service Provider, you have additional Obligations as a Service Provider under the DMCA.

You agree to indemnify and hold inetCloud, its subsidiaries, affiliates, officers, agents, and representatives, and its and their officers and employees, harmless from and against any and all damages, liabilities, actions, causes of action, suits, claims, demands, losses, costs and expenses (including reasonable attorneys’ fees, disbursements, and court costs) arising from or in connection with your use of the Services, your violation of these Terms of Service, or your violation of any rights of any third party.

These Terms of Use will remain in full force and effect for so long as you use the Services. We may suspend or terminate your right to use the Services at any time for any reason in our sole discretion, including for any use of the Services in violation of these Terms of Use. Upon termination of your rights under these Terms of Use, your right to access and use the Services will terminate immediately. inetCloud will not have any liability whatsoever to you for any termination of your rights under these Terms of Use.

Contact inetCloud. If you have any questions or concerns, contact our Client Support email address at support@inet.ws or through the system of communication with support built into your personal account by creating tickets.

12.1. inetCloud will receive requests about its clients from law enforcement agencies. We will respond to any such requests from authorized law enforcement officials with proof of authority. This section will serve as a guide to explain how authorized law enforcement officials can request client information.

12.2. inetCloud reviews each Order to determine whether there is a valid legal basis for the Order. inetCloud will only respond to legally valid Orders.

The laws of Canada will govern these Terms of Use, without giving effect to any conflicts of laws principles. You agree that any action arising out of these Terms of Use, or your use of the Services shall be brought in the competent courts of Canada, British Columbia, and you consent to the jurisdiction of such courts.

To the extent permitted by law, our liability is limited.

15.1. All intellectual property in the design and layout of this Site, software and the material and information published on its pages belongs to and is vested in inetCloud or its licensors. You may not copy any part of this Site or otherwise do anything in relation to any part of the Site. You may not otherwise use or reproduce any of this Site or the material contained within it in any manner other than those listed above without first obtaining the prior written permission of inetCloud.

15.2. Unless otherwise noted, all content contained on this Site is the property of inetCloud and/or its affiliates or licensors, and is protected from unauthorized copying and dissemination by Canada copyright law, trademark law, international conventions and other intellectual property laws. The service marks and trademarks of inetCloud, including without limitation inet.ws and the inetCloud logos are service marks owned by inetCloud. Any other trademarks, service marks, logos and/or trade names appearing via the service are the property of their respective owners. You may not copy or use any of these marks, logos or trade names without the express prior written consent of the owner.

15.3. inetCloud grants you permission (which may be revoked at any time for any reason or no reason) to use the Site and services as provided herein and in accordance with these Terms and solely for your own personal, non-commercial use (except as provided herein), provided you do not remove any trademark, copyright or other notice contained on such pages. No other use is permitted. inetCloud reserves all of its statutory and common law rights against any person or entity who violates this paragraph.

15.4. Except as expressly authorized by inetCloud, you agree not to reproduce, modify, rent, lease, loan, sell, distribute, mirror, frame, republish, download, transmit, or create derivative works of the content of others, in whole or in part, by any means. You must not remove or modify any copyright or trademark notice, or other notice of ownership.

16.1. The communications between you and inetCloud use electronic means, whether you communicate with us by using the Services or sending us emails, or whether inetCloud posts notices on the Services or communicates with you via email. All communications in electronic format will be considered to be "in writing," and to have been received no later than twenty-four (24) hours after posting or dissemination, whether or not you have received or retrieved the communication. inetCloud reserves the right to provide communications in paper format. You agree to give us notice of any change of your postal or email address.

16.2. Your consent to receive communications electronically is valid until you revoke your consent by notifying us of your decision to do so. If you revoke your consent to receive communications electronically, inetCloud may terminate your right to use the services under these Terms of Use and, as a result your ability to use the Services.

Severability. If any part of these Terms of Use is deemed unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity or enforceability of remaining provisions.

Entire Agreement. These Terms of Use set forth the entire understanding between you and inetCloud with respect to the subject matter hereof and supersede any prior or contemporaneous communications, representations, or agreements, whether oral or written, between you and inetCloud with respect to such subject matter.

Changes. inetCloud offers the Services to you based on your acceptance of these Terms of Use without modification. inetCloud reserves the right and may, from time-to-time, make changes to the Site or to these Terms of Use. Any changes or modifications to the Terms of Use will be effective upon upload to the Site. You acknowledge that it is your sole responsibility to review these Terms of Use each time you use the Services to remain apprised of any changes, revisions, or updates. Your ongoing and continued use of the Services, following any revision, change, modification, or update to these Terms of Use, constitutes your acceptance of the modified Terms of Use.

Executed Contract. If You have entered into a separate executed (i.e. signed) agreement for services with inetCloud (collectively and individually, “Contract”), such Contract shall supersede these Terms. In the event of any conflict between these Terms and the Contract, the Contract will prevail. In cases where the Contract does not address specific provisions included in these Terms, these Terms will apply, supplementing the Contract.

Force Majeure. inetCloud shall not be liable for delays, failure in performance or interruption of service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, any delay, act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or Internet services or network provider services, failure of equipment and/or software, other catastrophe or any other occurrence which is beyond inetCloud’s reasonable control and shall not affect the validity and enforceability of any remaining provisions.
